USER AGREEMENT & LEGAL DISCLAIMER
Effective upon account activation or first use of the Platform.
By checking the acceptance box, creating an account, logging in, or otherwise accessing the Skywatch platform ("Platform"), you ("User") acknowledge that you have read, understood, and agree to be legally bound by this User Agreement. If you do not agree to these terms in their entirety, you must immediately cease access to the Platform.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKYWATCH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "SKYWATCH") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF SKYWATCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
USER HEREBY IRREVOCABLY RELEASES SKYWATCH LLC FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, AND LIABILITY OF EVERY KIND, KNOWN OR UNKNOWN, ARISING FROM OR RELATED TO USER'S USE OF THE PLATFORM OR ANY INFORMATION OBTAINED THROUGH THE PLATFORM, FOR ANY REASON WHATSOEVER.
You are solely and exclusively responsible for how you use, interpret, and act upon any information provided by the Platform. Skywatch LLC provides data and tools for informational and situational awareness purposes only. The User bears full legal, professional, and personal responsibility for all decisions made in reliance on Platform data, including but not limited to operational decisions, law enforcement actions, regulatory filings, airspace management decisions, and all consequences resulting therefrom. Any action taken based upon Platform information is taken at the User's sole risk.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SKYWATCH LLC DOES NOT WARRANT THAT: (a) THE PLATFORM WILL OPERATE ERROR-FREE OR WITHOUT INTERRUPTION; (b) ANY DATA, FLIGHT INFORMATION, AIRSPACE DATA, DRONE TELEMETRY, OR OTHER INFORMATION IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE; OR (c) THE PLATFORM IS FREE FROM DEFECTS, VIRUSES, OR OTHER HARMFUL COMPONENTS. DRONE TRACKING DATA, AIRSPACE ALERTS, AND ALL PLATFORM DATA MAY BE SUBJECT TO DELAY, ERROR, OR OMISSION. DO NOT USE THIS DATA AS THE SOLE BASIS FOR ANY SAFETY-CRITICAL DECISION.
The User is solely responsible for ensuring all activities conducted in connection with or informed by the Platform comply with applicable federal, state, and local laws and regulations, including but not limited to Federal Aviation Administration (FAA) regulations, Transportation Security Administration (TSA) requirements, and applicable state and municipal aviation and privacy laws. Skywatch LLC makes no representation that the Platform satisfies or assists in satisfying any regulatory requirement.
User agrees not to use the Platform to: (a) stalk, harass, or surveil individuals without lawful authority; (b) interfere with, jam, or spoof aircraft or UAS communications or navigation; (c) conduct activities that violate FAA regulations, restricted airspace rules, or temporary flight restrictions (TFRs); (d) intercept or record communications without lawful authorization; (e) facilitate any criminal activity; or (f) circumvent access controls or attempt unauthorized access to any portion of the Platform. Violations may result in immediate termination of access and referral to applicable law enforcement authorities.
Access to the Platform is granted solely to authorized users. You agree not to share your credentials with unauthorized parties and to immediately notify Skywatch LLC of any unauthorized access to your account. Information obtained through the Platform — including active drone telemetry, alert zone configurations, user data, and incident reports — may be sensitive and shall be treated as confidential. Unauthorized disclosure of Platform data may violate applicable state and federal law.
User agrees to indemnify, defend, and hold harmless Skywatch LLC and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) User's access to or use of the Platform; (b) User's violation of this Agreement; (c) User's violation of any applicable law or regulation; or (d) any third-party claim arising from User's actions or omissions in connection with the Platform.
All content, software, algorithms, interfaces, trademarks, logos, and data compilations accessible through the Platform are the exclusive property of Skywatch LLC or its licensors, protected by applicable intellectual property laws. No license to any intellectual property is granted beyond the limited right to access the Platform for authorized purposes. Unauthorized copying, reproduction, or distribution of Platform content is strictly prohibited.
User is responsible for maintaining the confidentiality of account credentials and for all activities that occur under their account. Skywatch LLC shall not be liable for any loss arising from unauthorized access resulting from failure to safeguard login credentials. Temporary access credentials must not be shared beyond the scope of the authorized user group for which they were issued.
Skywatch LLC does not guarantee continuous, uninterrupted, or secure access to the Platform. The Platform may be suspended, restricted, or terminated at any time without notice for maintenance, security, operational, or any other reason at Skywatch LLC's sole discretion. Skywatch LLC shall not be liable for any loss or damages resulting from service interruptions.
By using the Platform, you consent to the collection and use of information necessary for platform operation, security, and legal compliance. Platform usage, access logs, session activity, and location-related queries may be logged and retained. This information may be disclosed to law enforcement or other authorities as required by applicable law or court order.
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Galveston County, Texas. User irrevocably waives any objection to jurisdiction or venue in such courts.
Skywatch LLC reserves the right to modify this Agreement at any time in its sole discretion. Continued use of the Platform following any modification constitutes User's acceptance of the updated terms. Users will be notified of material changes upon next login.
This Agreement constitutes the entire agreement between User and Skywatch LLC with respect to Platform access and use, superseding all prior agreements, representations, warranties, and understandings of any kind, whether written or oral.
BY CHECKING THE ACCEPTANCE BOX YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD,
AND AGREE TO BE BOUND BY ALL TERMS OF THIS AGREEMENT.
